Non-Disclosure Agreement
This Non-Disclosure Agreement (the “Agreement”) is entered into by Northline Labs, Inc. (“Disclosing Party”) and A. Chen (“Receiving Party”).
Article 1. Confidential Information
“Confidential Information” means information the Disclosing Party discloses in connection with the contractor engagement, whether in written, oral, electronic, or visual form, that is marked confidential or that a reasonable person would understand to be confidential given the circumstances, including source code, architecture, product plans, and customer data.
Article 2. Exclusions
Confidential Information does not include information that is or becomes public other than by breach of this Agreement, was already in the Receiving Party’s possession without duty of confidentiality, is independently developed without use of Confidential Information, or is rightfully received from a third party without restriction.
Article 3. Non-Use and Non-Disclosure
The Receiving Party shall not use Confidential Information except to perform the engagement, and shall not disclose it except to personnel and advisors who have a need to know and are bound by obligations no less protective than these.
