How it works
A drafting path, not a prompt.
Phase 1 of NDA Builder is this marketing demo. The path below is the product we are building toward: facts in, approved language out, checks visible, judgment left to an attorney when it is needed.
Structured intake
Deal type, jurisdiction, parties, categories of confidential information, duration, and special requirements. The draft starts from a record of the deal, not a paragraph of instructions to a model.
Clause selection from an approved library
A model may help identify which approved variants fit the intake. It does not freely rewrite the agreement. Alternatives, conditions, and required provisions live in the attorney’s library.
Deterministic assembly
Templates and document logic control captions, numbering, cross-references, and formatting so the output stays in house form even when selected clauses change.
Art. 1 Confidential Information — layered definitionArt. 2 Exclusions — public, independent, prior, requiredArt. 3 Non-use and non-disclosureArt. 4 Term, survival, trade secretsArt. 5 DTSA noticeClause QA
Automated checks for required provisions, exclusions, term and survival, DTSA notice, and other drafting rules. A pass means the rule fired as written. It is not a legal opinion.
Style QA
Automated checks for attorney-approved language, formatting, punctuation, defined-term consistency, and structure. Deviations are flagged for review.
Optional attorney flag
Situations that need legal judgment—unusual facts, expanded purpose, or a failed check—can be flagged for attorney review. That review is a separate human process.
